1. MEMBERSHIP STRUCTURE

1.1 Private Club Status

The GivBux Lounge operates as a private membership club under California law. We are NOT a public restaurant, bar, or commercial venue. Access is restricted to approved members and their registered guests only.

All membership applications are subject to committee review and approval.

Submission of an application does not guarantee acceptance. We reserve the right to deny membership to anyone, for any reason, at our sole discretion.

1.2 Membership Tiers

Three membership tiers are offered:

• The Draft Pick (Social): $2,500 annually
• The Captain (VIP): $7,500 annually
• The Owner’s Box (Corporate): $15,000 annually

All fees are non-refundable once membership is activated. Pricing is subject to change with 60 days’ written notice to existing members.

1.3 Membership Duration & Renewal

Memberships are valid for one (1) calendar year from the date of activation.

Members will receive renewal notices 30 days prior to expiration. Failure to renew by the expiration date results in immediate loss of access and benefits.

Multi-year prepayment options may be offered at management’s discretion and include rate protection guarantees.

1.4 Membership Transferability

Memberships are NON-TRANSFERABLE. You cannot sell, gift, or bequeath your membership to another party.

Corporate memberships (Owner‘s Box) may designate up to four (4) authorized  executives. Changes to the executive roster require written notice and are

subject to approval.

2. GUEST POLICIES

2.1 Guest Privileges

Members may bring guests in accordance with their tier:

• Draft Pick: Up to 2 guests per visit
• Captain: Up to 4 guests per visit
• Owner‘s Box: Up to 8 guests per visit (across all 4 exec passes)

All guests must be 21+ and must be accompanied by the sponsoring member at all times. Members are fully responsible for guest behavior.

2.2 Guest Registration

All guests must be registered at check-in. Valid government-issued photo identification is required. We reserve the right to refuse entry to any guest.

Repeat violations of guest policies may result in membership suspension or termination without refund.

3. YACHT CHARTER TERMS

3.1 Booking & Payment

Yacht charters are booked separately from membership and require advancebreservation (minimum 72 hours’ notice recommended).

Captain tier members receive $1,500 in annual charter credits. Owner’s Box

members receive two (2) complimentary 4-hour charters annually.

All charters require a signed waiver and 50% deposit at booking. Remaining

balance is due 48 hours prior to departure.

3.2 Cancellation Policy

• 7+ days before charter: Full refund minus $250 admin fee
• 3-6 days before charter: 50% refund
• Less than 72 hours: No refund (weather exceptions apply)

Charter credits expire with membership and are non-transferable.

3.3 Yacht Rules & Liability

By boarding any vessel, you agree to:

• Follow all instructions from licensed captains and crew
• Assume all risks associated with boating activities
• Hold The GivBux Lounge harmless for injury, loss, or damage

No illegal activities. No reckless behavior. If the Coast Guard gets involved,

your membership is revoked. Immediately.

4. ALCOHOL SERVICE & COMPLIANCE

4.1 Private Catering Model

The GivBux Lounge does NOT hold a California ABC license and does not sell alcohol directly to members or guests.

ALL alcoholic beverages are provided exclusively by licensed third-party catering partners in compliance with California Business & Professions

Code § 23399 (private event exception).

By attending events, you acknowledge that alcohol service is arranged by and through licensed caterers, not The GivBux Lounge.

4.2 Age Verification & Responsible Service

All attendees consuming alcohol must be 21+ and present valid ID.

Our catering partners reserve the right to refuse service to intoxicated guests.

Management reserves the right to remove any guest whose behavior poses a risk to themselves or others.

We provide complimentary car service partnerships (Uber/Lyft credits) for members. Use them.

5. CHARITABLE CONTRIBUTIONS (GIVBUX INTEGRATION)

5.1 Automatic Allocation

A percentage of all membership dues and yacht charter revenue is automatically allocated to charitable organizations through the GivBux platform:

• 10% of membership fees
• 15% of yacht charter revenue

This allocation is built into pricing and is NOT tax-deductible for members

(see Section 5.3).

5.2 Charity Selection & Transparency

The GivBux Lounge selects vetted 501(c)(3) organizations quarterly.

Members receive impact reports showing exactly where contributions were directed. Partner charities are subject to change based on community needs

and vetting requirements.

5.3 Tax Treatment

Charitable allocations made by The GivBux Lounge are NOT deductible by individual members, as they are embedded in service fees.

Corporate memberships (Owner’s Box) may be tax-deductible as business entertainment expenses under IRC § 274. Consult your tax advisor.

We provide annual summaries for corporate accounting purposes upon request.

6. CODE OF CONDUCT

6.1 Behavioral Standards

The GivBux Lounge is a professional environment with a relaxed vibe.

We expect members to:

• Treat staff, members, and guests with respect
• Maintain appropriate conduct in all spaces
• Refrain from harassment, discrimination, or illegal activity

Violations will result in immediate removal and potential membership termination.

6.2 Dress Code

Smart casual is the baseline. Yacht attire encouraged.

NOT PERMITTED:

• Athletic wear (unless arriving from or departing to an athletic activity)
• Beachwear outside of yacht charters
• Clothing with offensive graphics or language

Management reserves final discretion. If you have to ask, you already know.

6.3 Photography & Social Media

Members and guests may photograph themselves and their own parties.

DO NOT photograph other members or guests without consent.

The GivBux Lounge reserves the right to use photos taken in common areas for marketing purposes. If you prefer not to appear in promotional materials,

notify management in writing.

7. TERMINATION & SUSPENSION

7.1 Voluntary Termination

Members may cancel at any time by written notice. No refunds will be issued for unused membership time or benefits.

7.2 Involuntary Termination

We reserve the right to terminate any membership immediately, without refund,

for:

• Violation of these Terms & Conditions
• Illegal activity on premises or vessels
• Harassment or threatening behavior
• Non-payment of fees
• Bringing the club into disrepute

Decisions are final and not subject to appeal (but you can try).

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

The GivBux Lounge, its owners, operators, employees, and partners are NOT LIABLE for:

• Personal injury or death (except gross negligence)
• Loss or theft of personal property
• Damages arising from yacht charters, events, or third-party services
• Business losses or missed opportunities

BY USING OUR FACILITIES, YOU ASSUME ALL RISKS.

We strongly recommend maintaining your own insurance coverage.

9. DISPUTE RESOLUTION

9.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

9.2 Arbitration Agreement

Any disputes arising from these Terms or your membership shall be resolved through binding arbitration in Orange County, California, under the rules of the American Arbitration Association.

You waive your right to participate in class action lawsuits.

(If we’re going to fight, let’s keep it classy.)

10. MISCELLANEOUS

10.1 Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated via email with 30 days’ notice.

Continued use of membership after changes constitutes acceptance.

10.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.
